の中から各対象地域向けのものをお選びになり、ソフトウェアを使用になる前

ソフトウェア使用許諾契約書

第1条（総則）
　ソニー株式会社（以下「ソニー」という）は、ソニー製デジタルスチルカ
メラ（以下「カメラ」という）またはソニー製デジタルカムコーダー（以下
「カムコーダー」という）と共に提供するソフトウェア（以下「許諾ソフト
ウェア」という）の非独占的かつ譲渡不能な使用権を使用者に許諾します。

第2条（使用権）
1. 本契約によって生ずる許諾ソフトウェアの使用権とは、使用者が所有する
パーソナルコンピューター１台においてのみ、使用者が許諾ソフトウェアを使
用する権利をいいます。
2. 使用者は、許諾ソフトウェアをバックアップ目的に限り１回のみ複製でき
るものとします。
3. 使用者は、前項に規定する以外の目的のために許諾ソフトウェアおよび関
連書類の一部もしくは全部の複製、複写もしくは修正、追加等の改変をする
ことはできません。

第3条（譲渡等の禁止）
1. 使用者は、前条に規定する使用権を、カメラまたはカムコーダーと共にの
み、第三者に譲渡できることとします。但し当該譲渡の際には、使用者は前
条2項に規定する許諾ソフトウェアの複製物を破棄することと共に、当該譲渡
を受ける第三者が事前に本ソフトウェア使用許諾契約書の内容に合意するこ
とを条件とします。
2. 使用者は許諾ソフトウェアに関し逆アセンブル、逆コンパイル等のソース
コード解析作業を行ってはならいものとします。

第4条（許諾ソフトウェアの権利）
　許諾ソフトウェアおよびその関連書類に関する著作権等一切の権利は、ソ
ニーまたはソニーが許諾ソフトウェアの使用、再許諾を許諾された原権利者
（以下原権利者とします）に帰属するものとし、使用者は許諾ソフトウェア
およびその関連書類に関して本契約に基づき許諾された使用権以外の権利を
有しないものとします。

第5条（ソニーの免責）
　ソニーは、使用者が本契約に基づき許諾された使用権を行使することによ
り生じた使用者もしくは第三者の損害に関してはいかなる責任も負わないも
のとします。

第6条（保証）
1.　ソニーは、使用者の本製品の購入後90日間は以下の通り保証を行います。
（1）許諾ソフトウェアに関し、CD-ROMディスクの破損、損傷等の外的瑕疵
が発見された場合は、ソニーは自己の判断で、良品のCD-ROMディスクを使用
者に提供するものとします。
（2）前号の保証は、ソニーの指定する場所にて行われ、媒体、郵送等の費
用は、使用者が負担するものとします。
2.　ソニーが許諾ソフトウェアに関し使用者に対し行う保証は本条に定めら
れているもののみとします。

第7条（第三者に対する責任）
　使用者が許諾ソフトウェアを使用することにより、第三者との間で著作権
、特許権その他の知的財産権の侵害を理由として紛争を生じたときは、使用
者自身が自らの費用で解決するものとし、ソニー及び原権利者に一切の迷惑
をかけないものとします。

第8条（秘密保持）
　使用者は、本契約により提供される許諾ソフトウェア、その関連書類等の
情報および本契約の内容のうち公然と知られていないものについて秘密を保
持するものとし、ソニーの許諾を得ることなく第三者に開示または漏洩しな
いものとします。

第9条（契約の解除）
　ソニーは、使用者において次の各号の一に該当する事由があるときは、直
ちに本契約を解除し、またはそれによって蒙った損害の賠償を使用者に対し
請求することができるものとします。
（1）本契約に定める条項に違反したとき
（2）差押、仮差押、仮処分その他強制執行の申立を受けたとき

第10 条（許諾ソフトウェアの廃棄）
　前条の規定により本契約が終了した場合、使用者は許諾ソフトウェアおよ
びその複製物を廃棄するものとします。

第11条（その他）
　本契約に定めなき事項もしくは本契約の解釈に疑義を生じた場合は、ソニ
ーと使用者は誠意をもって協議し、解決するものとします。

END-USER LICENSE AGREEMENT FOR SONY SOFTWARE

IMPORTANT-READ CAREFULLY:  This End-User License Agreement
("EULA") is a legal agreement between you and Sony Electronics 
Inc. ("SONY"), the manufacturer of your Sony digital still camera
 ("CAMERA") or Sony digital camcorder ("CAMCORDER")  All Sony 
software and third party software distributed together with the 
CAMERA or the CAMCORDER  shall be referred to herein as the SONY 
SOFTWARE.  This EULA covers only the SONY SOFTWARE .  
The SONY SOFTWARE includes computer software, the associated 
media, any printed materials, and any "on-line" or electronic 
documentation. You may use the SONY SOFTWARE only in connection 
with the use of the CAMERA or the CAMCORDER.  By installing, 
copying or otherwise using the SONY SOFTWARE, you agree to be 
bound by the terms of this EULA.  If you do not agree to the 
terms of this EULA, SONY is unwilling to license the SONY 
SOFTWARE  to you.  In such event, you may not use or copy the 
SONY SOFTWARE , and you should promptly contact SONY for 
instructions on return of the unused product(s) for a refund of 
the purchase price of the CAMERA or CAMCORDER allocable to the 
SONY SOFTWARE.

LICENSE
The SONY SOFTWARE is protected by copyright laws and 
international copyright treaties, as well as other intellectual 
property laws and treaties.  The SONY SOFTWARE is licensed, not 
sold.

GRANT OF LICENSE.  This EULA grants you the following rights:
- 	Software.  You may install and use one copy of the SONY 
SOFTWARE on a single computer.
-	Storage/Network Use.  You may not use the SONY SOFTWARE 
over an internal network or distribute the SONY SOFTWARE to other 
computers over an internal network.
-	Back-up Copy.    You may  make one back-up copy of SONY 
SOFTWARE solely for archival purposes.

DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
-	Limitation on Reverse Engineering, Decompilation and 
Disassembly.  
You may not modify, reverse engineer, decompile, or disassemble 
the SONY SOFTWARE in whole or in part.
-	Separation of Components.  The SONY SOFTWARE is licensed 
as a single product.  Its component parts may not be separated 
for use on more than one computer.
-	Single COMPUTER.    The SONY SOFTWARE may only be used 
with a single computer.
-	Rental.  You may not rent or lease the SONY SOFTWARE.
-	Software Transfer.  You may permanently transfer all of 
your rights under this EULA only as part of a sale or transfer 
of the SONY SOFTWARE along with the CAMERA or the CAMCORDER, 
provided you retain no copies, transfer all of the SONY SOFTWARE 
(including all copies, component parts, the media and printed 
materials, all versions and any upgrades of the SONY SOFTWARE 
and this EULA), and the recipient agrees to the terms of this 
EULA.
-	Termination.  Without prejudice to any other rights, 
SONY may terminate this EULA if you fail to comply with the 
terms and conditions of this EULA.  In such event, you must 
destroy all copies of the SONY SOFTWARE and all of its 
component parts.

COPYRIGHT.  All title and copyrights in and to the SONY SOFTWARE 
(including but not limited to any images, photographs, animation, 
video, audio, music, text and "applets," incorporated into the 
SONY SOFTWARE), and any copies of the SONY SOFTWARE, are owned 
by SONY or its suppliers.  
All rights not specifically granted under this EULA are reserved 
by SONY.

HIGH RISK ACTIVITIES.  The SONY SOFTWARE is not fault-tolerant 
and is not designed, manufactured or intended for use or resale 
as on-line control equipment in hazardous environments requiring 
fail-safe performance, such as in the operation of nuclear 
facilities, aircraft navigation or communication systems, air 
traffic control, direct life support machines, or weapons 
systems, in which the failure of the SONY SOFTWARE could lead 
to death, personal injury, or severe physical or environmental 
damage ("High Risk Activities").  SONY and its suppliers 
specifically disclaim any express or implied warranty of 
fitness for High Risk Activities.

PROHIBITION ON EXPORT.  EXCEPT FOR EXPORT TO CANADA FOR USE IN 
CANADA BY CANADIAN CITIZENS, THE SONY SOFTWARE AND ANY 
UNDERLYING TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED 
STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED 
BY U.S.  GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION, 
ANYONE WHO IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT 
RESIDENT OF THE UNITED STATES.  BY DOWNLOADING OR USING THE SONY 
SOFTWARE, YOU ARE AGREEING TO THE FOREGOING AND YOU ARE 
WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE 
CONTROL OF A FOREIGN PERSON.

U.S. GOVERNMENT RESTRICTED RIGHTS.  THE SOFTWARE PRODUCT and 
documentation are provided with RESTRICTED RIGHTS.  Use, 
duplication, or disclosure by the United States Government is 
subject to restrictions as set forth in subparagraph (c)(1) and 
(2) of the Commercial Computer Software-Restricted Rights at 48 
CFR 52.227-19, as applicable.

LIMITED WARRANTY

LIMITED WARRANTY ON CD-ROM MEDIA.  SONY warrants that for a 
period of ninety (90) days from the date of its delivery to you 
the CD-ROM media on which the SONY SOFTWARE is furnished to you 
will be free from defects in materials and workmanship under 
normal use.  This limited warranty extends only to you as the 
original licensee.  SONY's entire liability and your exclusive 
remedy will be replacement of the CD-ROM media not meeting 
SONY's limited warranty and which is returned to SONY with proof 
of purchase in the form of a bill of sale (which is evidence that 
the CD-ROM media is within the warranty period). SONY will have 
no responsibility to replace a disk damaged by accident, abuse or 
misapplication.  ANY IMPLIED WARRANTIES ON THE CD-ROM MEDIA, 
INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS 
FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO NINETY (90) 
DAYS FROM THE DATE OF DELIVERY.  SOME STATES DO NOT ALLOW 
LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THESE 
LIMITATIONS MAY NOT APPLY TO YOU.  THIS WARRANTY GIVES YOU 
SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH 
VARY FROM STATE TO STATE.

EXCLUSION OF WARRANTY ON SONY SOFTWARE.  You expressly 
acknowledge and agree that use of the SONY SOFTWARE is at your 
sole risk.  The SONY SOFTWARE is provided "AS IS" and without 
warranty of any kind and SONY and SONY's licensors (hereinafter, 
SONY and SONY's licensors shall be collectively referred to as 
"SONY")  EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, 
INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF 
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  SONY DOES 
NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SONY SOFTWARE 
WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SONY 
SOFTWARE WILL BE CORRECTED.  
FURTHERMORE, SONY DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS 
REGARDING THE USE OR THE RESULTS OF THE USE OF THE SONY SOFTWARE 
IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY SONY OR A SONY 
AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY 
INCREASE THE SCOPE OF THIS WARRANTY.  
SHOULD THE SONY SOFTWARE PROVE DEFECTIVE YOU (AND NOT SONY OR A 
SONY AUTHORIZED REPRESENTATIVE) ASSUME THE ENTIRE COST OF ALL 
NECESSARY SERVICING, REPAIR OR CORRECTION.  SOME JURISDICTIONS 
DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE 
EXCLUSION MAY NOT APPLY TO YOU.

LIMITATION OF LIABILITY.  HEREINAFTER, SONY AND SONY'S LICENSOR'S
SHALL BE COLLECTIVELY REFERRED TO AS "SONY."  SONY SHALL NOT BE 
LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR BREACH OF 
ANY EXPRESS OR IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, 
STRICT LIABILITY OR ANY OTHER LEGAL THEORY RELATED TO THIS 
PRODUCT.   SUCH DAMAGES INCLUDE, BUT ARE NOT LIMITED TO , LOSS 
OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE 
PRODUCT OR ANY ASSOCIATED EQUIPMENT, DOWN TIME AND USER'S TIME, 
EVEN IF SONY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  
IN ANY CASE,  SONY'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS
EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID ALLOCABLE TO 
THE SONY SOFTWARE. SOME STATES DO NOT ALLOW THE EXCLUSION OR 
LIMITATION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE 
EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.

"CAMCORDER"). Please read this EULA carefully before installing 
or using the software distributed together with the CAMERA or 
the CAMCORDER (the "SONY SOFTWARE"). By installing or using the 
SONY SOFTWARE, you agree to be bound by the terms of this EULA. 
You may use the SONY SOFTWARE only in connection with the use of 
a single computer. SONY SOFTWARE is licensed not sold.

If you do not agree to the terms of this EULA, please return the 
SONY SOFTWARE to the place where you obtained it. 


License.   The SONY SOFTWARE and the related documentation are 
licensed to you by SONY. This EULA allows you to use the SONY 
SOFTWARE for your personal use and only to make one copy of the 
SONY SOFTWARE in machine-readable form for back-up purposes only.

Restrictions.  The SONY SOFTWARE contains copyrighted material 
and other proprietary material. In order to protect them, and 
except as permitted by applicable law, you may not decompile, 
reverse engineer or disassemble the SONY SOFTWARE in whole or 
in part. You may permanently transfer all of your rights under 
this EULA only as part of a sale or transfer of the SONY SOFTWARE
along with the CAMERA or the CAMCORDER, provided you retain no 
copies, transfer all of the SONY SOFTWARE (including all copies,
component parts, the media and printed materials, all versions 
and any upgrades of the SONY SOFTWARE and this EULA), and the 
recipient agrees to the terms of this EULA. 

Limited Warranty.  SONY warrants the media on which the SONY 
SOFTWARE is recorded to be free from physical defects for a 
period of ninety (90) days from the date of purchase as evidenced
by a copy of the receipt. During the applicable warranty period, 
SONY will replace free of charge such media that proved to be 
defective;  provided they are returned properly packaged to the 
place where you obtained it, together with your name, address, 
and proof of date of purchase. SONY will have no responsibility 
to replace media damaged by accident, abuse, or misapplication. 

The above limited warranty replaces all other representations, 
conditions and warranties, whether express or implied, by 
statute or otherwise and SONY expressly disclaims all other 
warranties and all conditions including, but not limited to, 
the implied warranties and/or conditions of satisfactory quality 
and fitness for a particular purpose. The terms of this limited 
warranty do not affect or prejudice your statutory rights as an 
ultimate consumer, neither do they limit or exclude any 
liability for death or personal injury caused by the negligence 
of SONY.

Termination.  This EULA is effective until terminated. You may 
terminate this EULA at any time by destroying the SONY SOFTWARE, 
related documentation, and all copies thereof. This EULA will 
terminate immediately without notice from SONY, if you fail to 
comply with any provision of this EULA. Upon termination you 
must destroy the SONY SOFTWARE, related documentation, and all 
copies thereof. 

Governing Law. This EULA shall be governed by and construed in 
accordance with the laws of Japan.

THE USE OF THE SONY SOFTWARE IN TERMS OF ITS CORRECTNESS, 
ACCURACY, RELIABILITY, OR OTHERWISE.  NO ORAL OR WRITTEN 
INFORMATION OR ADVICE GIVEN BY SONY OR A SONY AUTHORIZED 
REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE 
THE SCOPE OF THIS WARRANTY.  SHOULD THE SONY SOFTWARE PROVE 
DEFECTIVE YOU (AND NOT SONY OR A SONY AUTHORIZED REPRESENTATIVE) 
ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR 
CORRECTION.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF 
IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

LIMITATION OF LIABILITY
HEREINAFTER, SONY AND SONY'S LICENSOR'S SHALL BE COLLECTIVELY 
REFERRED TO AS "SONY."  SONY SHALL NOT BE LIABLE FOR ANY 
INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR BREACH OF ANY EXPRESS OR 
IMPLIED WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT 
LIABILITY OR ANY OTHER LEGAL THEORY RELATED TO THIS PRODUCT.   
SUCH  DAMAGES INCLUDE, BUT ARE NOT LIMITED TO , LOSS OF PROFITS, 
LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE PRODUCT OR ANY 
ASSOCIATED EQUIPMENT, DOWN TIME AND USER'S TIME, EVEN IF SONY 
HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN ANY 
CASE,  SONY'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA 
SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID ALLOCABLE TO THE 
SONY SOFTWARE.  SOME STATES DO NOT ALLOW THE EXCLUSION OR 
LIMITATION OF CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE 
EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.
